1. About these terms
These Terms & Conditions (“Terms”) apply to your use of our website and to any digital marketing services we provide, including SEO, paid advertising (PPC), content, web design and conversion optimisation. By using our website or engaging us, you agree to these Terms.
- Company name: beyondscopestrategies
- Email: info@beyondscopestrategies.com
- WhatsApp: +92 311 9878215
In these Terms, we and our mean Beyond Scope Strategies, and “you” and “the Client” mean the person or business using our website or services.
2. Using our website
- You may use our website for lawful purposes only.
- You must not attempt to gain unauthorised access to our website or systems, introduce malicious code, or copy or scrape our content without permission.
- We try to keep the website accurate and available, but we do not guarantee that it will be free from errors or interruptions.
- The information on our website is general in nature and is not professional advice for your specific situation.
3. Our services
The specific services, deliverables, timelines and fees for each engagement will be set out in a written proposal, quote, statement of work or service agreement (“Proposal”). If there is a conflict between a Proposal and these Terms, the Proposal applies to that engagement, unless it says otherwise.
A contract is formed when you accept our Proposal in writing (including by email or message) or when we start work with your approval.
4. Client responsibilities
To deliver our services effectively, you agree to:
- Provide accurate and complete information, and timely access to your website, analytics, advertising accounts and other tools we need.
- Give feedback and approvals within a reasonable time. Delays on your side may delay delivery and results.
- Make sure you have the rights to any content, images, logos and data you give us.
- Keep your own accounts and credentials secure, and tell us promptly if access should be changed or removed.
- Comply with applicable laws and the rules of advertising and search platforms (such as Google and Meta).
5. Fees and payment
- Fees are set out in the Proposal and are in [currency, e.g. GBP] unless stated otherwise. Fees exclude VAT and other taxes, which will be added where applicable.
- Unless the Proposal says otherwise, we invoice monthly in advance for ongoing services and [50%] upfront for fixed-price projects, with the balance on completion.
- Invoices are due within [14] days of the invoice date.
- If an invoice is overdue, we may charge interest at the rate set by the Late Payment of Commercial Debts (Interest) Act 1998, and we may pause work until payment is received.
- Work outside the agreed scope will be quoted and agreed with you before we start.
6. Advertising budgets and third-party costs
Advertising spend (for example on Google Ads or Meta) and third-party costs (such as software, stock images, hosting, domains or tools) are not included in our fees unless the Proposal says so. You are responsible for these costs. Where we manage ad budgets for you, we will spend them in line with the budget and settings you approve, and you remain responsible for platform charges.
7. No guarantee of results
Digital marketing depends on many factors outside our control, including search engine algorithms, competitor activity, advertising platform policies, seasonality and the quality of your website and offer. We use reasonable skill and care and follow recognised best practice, but we cannot and do not guarantee specific results, such as rankings, traffic, leads, sales or return on ad spend. Any figures, case studies or projections we share are examples or estimates and are not promises.
8. Intellectual property
- Our materials: we keep ownership of our pre-existing tools, methods, templates, processes and know-how.
- Deliverables: once you have paid for them in full, you own the final deliverables created specifically for you (such as written content, designs and reports), except for any third-party materials, open-source components or licensed assets, which remain subject to their own licences.
- Your materials: you keep ownership of your logos, content, data and brand assets, and you give us permission to use them to deliver the services.
- Portfolio: unless you tell us otherwise in writing, we may show the work we did for you, and your business name and logo, in our portfolio and marketing materials.
9. Confidentiality
Both parties agree to keep the other’s confidential information private and to use it only for the purposes of the engagement. This does not apply to information that is public, already known to the other party, or that must be disclosed by law. This obligation continues after the engagement ends.
10. Data protection
We handle personal data in line with the UK GDPR and the Data Protection Act 2018, as explained in our Privacy Policy. Where we process personal data on your behalf (for example, your customers’ data in advertising or analytics accounts), you are the data controller and we act as your processor, and we will enter into a data processing agreement if one is required.
11. Term and termination
- Ongoing services continue until ended by either party giving [30] days’ written notice, or as set out in the Proposal.
- Either party may end the agreement immediately by written notice if the other commits a serious breach that is not fixed within [14] days of being asked to, or becomes insolvent.
- On ending, you must pay for all work completed and costs committed up to the end date. We will return or give you access to your accounts, data and files, once all sums due are paid.
- Sections that by their nature should continue (such as intellectual property, confidentiality, payment and liability) will continue after termination.
12. Limitation of liability
- Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or anything else that cannot be limited by law.
- Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data.
- Our total liability for any claim arising from our services is limited to the fees you paid us in the [12] months before the claim arose.
- We are not responsible for losses caused by changes to search engine or advertising platform algorithms or policies, third-party outages, or by information, access or approvals that you did not provide on time.
13. Third-party platforms and links
Our services rely on third-party platforms and tools, such as Google, Meta, analytics, hosting and CRM providers. These are governed by their own terms and privacy policies, and we are not responsible for their availability, changes or decisions (such as account suspensions or ad disapprovals). Our website may link to third-party sites, and we are not responsible for their content.
14. Force majeure
Neither party is liable for delay or failure to perform caused by events outside its reasonable control, including natural disasters, power or internet failures, strikes, war, government action or platform outages. If such an event continues for more than [30] days, either party may end the affected services by written notice.
15. General
- Entire agreement: these Terms and the Proposal are the whole agreement between us and replace any earlier discussions.
- Changes: we may update these Terms from time to time. The version on our website on the date you engage us applies to that engagement, and changes to ongoing services will be notified to you in advance.
- Assignment: you may not transfer your rights under these Terms without our written consent.
- Severability: if any part of these Terms is found to be unenforceable, the rest remains in effect.
- No waiver: failing to enforce a right does not mean we give it up.
- Subcontractors: we may use trusted freelancers or partners to help deliver services, and we remain responsible for their work.
16. Governing law
These Terms and any dispute connected with them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless the Proposal states otherwise.
